Terms of Service

1. Acceptance

By browsing this site, submitting a form, booking a call, or paying an invoice, you accept these Terms of Service ("Terms"). If you don't agree, please don't use the service. These Terms apply between you ("Client") and Muhammad Zohaib, trading as OvaVerse ("we", "I", "us") based in Pakistan.

2. Services

I provide off-page SEO, link building, local SEO, content support and related digital marketing services. Specific deliverables, timelines, and pricing are described on the Services page, Pricing page, and in any written engagement letter (email, PDF brief, or Upwork milestone) we agree on. If the website and the engagement letter conflict, the engagement letter wins.

3. Engagement & minimum term

Monthly retainer engagements (Builder, Authority, Dominator, Enterprise) have a 3-month minimum term unless we agree otherwise in writing. This gives the work time to compound — SEO impact is rarely visible in 30 days.

One-off placements (guest posts, niche edits) are billed per delivery with no minimum.

After the minimum term, the engagement continues month-to-month until either party gives 14 days' written notice (email is fine).

4. Payment terms

• Invoicing: invoices are issued at the start of each monthly cycle.
• Methods: Wise, PayPal, bank transfer, Upwork milestone, or other agreed method.
• Currency: USD (default), GBP or EUR available on request.
• Due date: invoices are due within 7 days of issue unless otherwise stated.
• Late payment: work pauses if an invoice is unpaid past 14 days. Resumed after payment clears.
• Annual prepay: 15% discount on any retainer tier if 12 months are prepaid upfront. Refundable pro-rata if I fail to deliver against agreed criteria.

5. Replacement guarantee

If a placement loses its dofollow status, is removed from the publisher's site, or is deindexed by Google within 60 days of going live, I replace it for free with a placement of equivalent DR + traffic. This guarantee applies to every plan and every tier.

The replacement guarantee does not cover: client-requested anchor / URL changes after publication, Google manual actions caused by other vendors' work, voluntary cancellations, or domain changes initiated by the client.

6. What I do NOT guarantee

SEO involves Google, a third party I do not control. I therefore cannot guarantee:

• Specific ranking positions for specific keywords on specific dates.
• Traffic volumes or revenue outcomes.
• That Google's algorithm won't change in ways that affect rankings.
• That competitors won't out-spend or out-invest your campaign.

What I do guarantee: the work I do will follow editorial best practice, my placements will be on real publisher sites verified in Ahrefs, anchor mix will follow disclosed strategy, and you'll receive monthly reports with verifiable proof of every placement.

7. Client responsibilities

For me to deliver effectively, you agree to:

• Provide accurate information about your site, niche, competitors and goals.
• Give timely approvals on publisher previews (within 5 business days, otherwise I proceed with the best-fit option).
• Not engage other link-building vendors simultaneously without disclosure (creates anchor / velocity conflicts).
• Keep your site reachable, indexable, and within Google's Webmaster Guidelines.
• Pay invoices on time.

8. Intellectual property

• Articles written for placement: copyright transfers to the publishing site upon publication (standard guest-post practice). Articles cannot be re-used on your site or elsewhere.
• Strategy documents, audits, reports: copyright remains with us. You receive a perpetual license to use them internally and with your team.
• Your site content: remains yours.
• Brand & logo: “OvaVerse” and related marks remain our property.

9. Confidentiality & NDA

I treat all client information as confidential by default, including site URLs, competitor lists, business strategy, and ranking data. A formal Non-Disclosure Agreement (NDA) is available on request at no extra cost — standard for B2B SaaS, finance, legal and YMYL clients.

I may publish anonymised case studies (e.g., "Series-A B2B SaaS") that don't identify the client. If you don't want any reference to your engagement, just say so in writing — I'll comply.

10. Limitation of liability

To the maximum extent permitted by law:

• My total liability under this engagement is limited to the fees paid in the 3 months immediately preceding the claim.
• I am not liable for indirect, consequential, or punitive damages (lost profits, lost revenue, brand damage, etc.).
• I am not liable for Google penalties, manual actions, or algorithm updates that affect rankings, where my work has followed editorial best practice.

Nothing in these Terms limits liability for fraud, wilful misconduct, or anything that cannot legally be excluded.

11. Termination

Either party may terminate the engagement:

• After the 3-month minimum term, with 14 days' written notice.
• Immediately, if the other party materially breaches these Terms and fails to cure within 14 days of written notice.
• Immediately, if the other party becomes insolvent, files for bankruptcy, or ceases trading.

On termination: outstanding invoices remain payable, work-in-progress is delivered up to the termination date, and confidentiality survives termination.

12. Governing law & disputes

These Terms are governed by the laws of Pakistan. Any dispute first goes through good-faith negotiation. If unresolved within 30 days, disputes will be submitted to arbitration or the appropriate courts in Pakistan. For international clients, we may mutually agree to alternate jurisdiction (e.g. UK / EU / US) in the engagement letter.

13. Modifications

I may update these Terms occasionally to reflect changes in service or law. Material changes will be highlighted with a new "Last updated" date. Continued use of the service after changes implies acceptance.
